By accessing our website or engaging our manpower services, you agree to be bound by these terms.Please read these terms carefully before using our services. If you do not agree with any part of these terms, you may not access the website or use our services.KDS International Pvt. Ltd. ('KDS', 'we', 'our', or 'us') reserves the right to modify these terms at any time without prior notice.
2Definitions
For the purpose of these Terms and Conditions:
- 'Company', 'We', 'Us', 'Our' refers to KDS International Pvt. Ltd., registered at D, 105, First Floor, 1/56, Lalita Park, Laxmi Nagar, Delhi, 110092.
- 'Client', 'You', 'Your' refers to the individual or organization engaging our manpower services or accessing our website.
- 'Services' refers to all manpower solutions including skilled, semi-skilled, unskilled, contract-based, industrial, and labour supply services.
- 'Workers' refers to individuals provided by KDS to clients for various roles.
- 'Website' refers to https://www.kdsinternational.org
3Services Agreement
KDS International provides manpower recruitment and staffing services to businesses across various industries.All service engagements are subject to separate Service Agreements or Contracts that will be signed between KDS and the Client.In the absence of a formal agreement, these Terms and Conditions shall govern the relationship.KDS reserves the right to accept or refuse any service request at its sole discretion.
4Client Obligations
Clients engaging our services agree to:
- Provide accurate and complete information about workforce requirements
- Ensure a safe working environment for all deployed workers as per Indian labour laws
- Comply with all applicable laws, regulations, and industry standards
- Provide timely feedback on worker performance
- Notify KDS immediately of any issues, grievances, or incidents involving deployed workers
- Maintain confidentiality of all KDS proprietary information
- Pay all agreed fees within the specified payment terms
5KDS Obligations
KDS International agrees to:
- Provide qualified workers as per client specifications and requirements
- Conduct background verification and document checks on all deployed workers
- Manage statutory compliance including PF, ESIC, and other applicable regulations
- Provide replacement workers in case of absenteeism or non-performance as per agreement
- Maintain confidentiality of client information
- Ensure workers adhere to client workplace policies and code of conduct
6Payment Terms
All service fees are outlined in the Service Agreement or invoice provided to the client.Payment terms are typically 30 days from invoice date unless otherwise specified.Late payments may incur interest at 2% per month on outstanding amounts.KDS reserves the right to suspend services for non-payment after written notice.All applicable taxes (GST, etc.) will be charged separately as per government regulations.
Special payment terms may be negotiated for long-term contracts or high-volume engagements.
7Worker Conduct and Performance
KDS takes reasonable steps to ensure workers are qualified and suitable for assigned roles.Clients are responsible for day-to-day supervision, training, and direction of workers.If a worker's performance is unsatisfactory, client must notify KDS in writing within 7 days.KDS will make reasonable efforts to replace unsatisfactory workers within a reasonable timeframe.KDS is not liable for worker misconduct, negligence, or willful acts once deployed at client premises.
8Compliance and Statutory Requirements
KDS International ensures compliance with:
- The Contract Labour (Regulation and Abolition) Act, 1970
- Employees' Provident Funds and Miscellaneous Provisions Act, 1952
- Employees' State Insurance Act, 1948
- Payment of Wages Act, 1936
- Minimum Wages Act, 1948
- Equal Remuneration Act, 1976
- All applicable state-specific labour laws
Clients must ensure compliance with workplace safety laws including the Factories Act, 1948 and Building and Other Construction Workers Act, 1996 where applicable.
9Indemnification
The Client agrees to indemnify and hold harmless KDS International, its directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from:
- Client's breach of these Terms and Conditions
- Client's violation of any applicable law or regulation
- Client's negligence or willful misconduct
- Any third-party claims related to client's use of our services
- Workplace accidents or injuries occurring at client premises
10Limitation of Liability
To the maximum extent permitted by law, KDS International's total liability to the Client shall not exceed the total fees paid by the Client for services during the preceding 12 months.KDS shall not be liable for any indirect, incidental, special, consequential, or punitive damages.KDS is not responsible for any loss of business, profits, revenue, or data.KDS does not warrant that services will be uninterrupted or error-free.
11Confidentiality
Both parties agree to maintain confidentiality regarding:
- Business strategies, operations, and financial information
- Client lists and supplier information
- Technical data, processes, and intellectual property
- Worker information and payroll details
- Terms of service agreements and pricing
Confidentiality obligations survive termination of the service agreement for a period of 3 years.
12Intellectual Property
All content on the KDS website including text, graphics, logos, images, and software is the property of KDS International and protected by Indian copyright laws.Clients may not reproduce, distribute, modify, or create derivative works without prior written consent.KDS trademarks and trade dress may not be used without express written permission.
13Termination
Either party may terminate services:
- By providing written notice as specified in the Service Agreement
- Immediately if the other party breaches material terms and fails to cure within 15 days
- If the other party becomes insolvent or files for bankruptcy
- For convenience with 30 days written notice (subject to applicable termination fees)
14Force Majeure
KDS International shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to:
- Acts of God (natural disasters, earthquakes, floods, pandemics)
- War, terrorism, civil unrest, or government actions
- Labour strikes or industrial disputes
- Power outages, internet failures, or technical disruptions
- Supply chain disruptions affecting worker availability
15Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of India.Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in Delhi.Before initiating legal proceedings, parties agree to attempt good-faith negotiations to resolve disputes.If negotiations fail, disputes may be referred to arbitration in Delhi as per the Arbitration and Conciliation Act, 1996.
16Website Usage Terms
When using our website, you agree to:
- Not use the website for any unlawful purpose
- Not attempt to gain unauthorized access to our systems
- Not interfere with the website's functionality or security
